These Terms of Service ("Terms") are a binding agreement between you and Business Health ("we," "us"). By creating an account or using getbusinesshealthy.com (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Business Health is an AI-assisted local-visibility platform that audits a business's online presence (Google Business Profile, reviews, web, etc.) and recommends improvements. Features evolve over time; we may add, remove, or change features at any time.

2. Accounts

You must be at least 16 years old and able to form a binding contract.
You are responsible for the accuracy of your account information and for safeguarding your credentials.
You are responsible for all activity that occurs under your account.

3. Acceptable use

You agree not to:

Use the Service to violate any law or third-party right, including intellectual property, privacy, or publicity rights.
Connect, audit, or impersonate a business you are not authorized to manage.
Reverse engineer, scrape, or attempt to gain unauthorized access to the Service or to other users' data.
Use the Service to send spam, generate fake reviews, or manipulate Google or any other platform in violation of its terms.
Interfere with the Service's operation or security.

4. Google Business Profile and third-party platforms

When you connect a Google Business Profile, your use of Google data through our Service is also subject to the Google Terms of Service and to the Google API Services User Data Policy, including its Limited Use requirements. You represent that you are authorized to grant us access to each profile you connect. We are an independent service and are not endorsed by or affiliated with Google.

5. Plans, billing, and trials

Paid plans are billed in advance through Stripe on a monthly or annual basis. Pricing is shown on the Pricing page and may change with notice.
Subscriptions auto-renew until canceled. You can cancel at any time from your account; access continues through the end of the paid period.
Except where required by law, fees are non-refundable.
Taxes are your responsibility.

6. AI-generated output

The Service uses AI to summarize, score, and recommend actions. AI output may contain errors. You are responsible for reviewing recommendations before acting on them. We do not warrant that AI output is accurate, complete, or appropriate for any particular purpose.

7. Your content

You retain ownership of the data and content you submit ("Customer Content"). You grant us a limited license to host, process, and display Customer Content as needed to operate the Service. You represent that you have the rights necessary to grant this license.

8. Our intellectual property

The Service, including its software, design, and branding, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription. All other rights are reserved.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate accounts that violate these Terms, abuse the Service, or for legal/security reasons. On termination we will delete or return Customer Content in accordance with our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR RANKING, REVIEW, OR BUSINESS OUTCOME.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend and indemnify us against any third-party claim arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

13. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, USA, excluding its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, for any dispute not subject to arbitration.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here and, where appropriate, communicated by email. Continued use of the Service after changes take effect constitutes acceptance.
